Content License Agreement

This is a license agreement between you and Hawaiipix.com and its parent Pacific iWorks, LLC and explains how you can use downloaded photos. By downloading content from Hawaiipix.com, you accept the terms of this agreement.

Use Of Content

You may use images downloaded from Hawaiipix.com in any way that is not restricted (see Restricted Uses below). Rights granted are perpetual, meaning there is no end date on your rights to use the downloaded images. Rights are non-exclusive, meaning you do not have the exclusive right to use downloaded images, nor will Hawaiipix.com give exclusive right to use the downloaded images to other customers. You may use downloaded images on an unlimited number of projects and in any media.

Rights granted by this license are non-transferable and non-sublicensable, except in the case where you are purchasing an image on behalf of an employer, client, or subcontractor in which case you warrant that you have full legal authority to bind your employer, client, or subcontractor to the terms of this agreement.

Restricted Uses

  1. No Unlawful Use. You may not use content in any unlawful manner.
  2. No Standalone File Use. You may not use downloaded images in any way that allows others to download, extract, or redistribute images as a standalone file.
  3. No False Representation of Authorship. You may not falsely represent that you are the original creator of any images downloaded from Hawaiipix.com, including significantly modifying images.
  4. No Resale. You may not use images in any resale or distribution where the primary value is in the image itself. For example, cards, stationary items, paper products, calendars, apparel, and/or electronic redistribution. You may not resell or distribute images as part of any digital or electronic template.

Intellectual Property Rights

All Hawaiipix.com content is owned by Pacific iWorks, LLC. All rights not expressly granted in this agreement are reserved by Pacific iWorks, LLC and Hawaiipix.com.

You do not need to include a photo credit for commercial or non-commercial use of any image downloaded from Hawaiipix.com.

Indemnification and Limitation of Liability

You agree to indemnify and hold harmless Pacific iWorks, LLC, Hawaiipix.com, its subsidiaries and content suppliers from all damages, liabilities and expenses (including reasonable outside legal fees) arising out of or in connection with any breach or alleged breach by you of any of the terms of this agreement.

Warranty

Hawaiipix.com and Pacific iWorks, LLC does not warrant the accuracy of any categories, keywords, captions, titles, descriptions, or metadata attached to any image, downloaded or displayed.

Content is provided “as is” without representation, warranty or condition of any kind, either express or implied, including, but not limited to, implied representations, warranties or conditions, or fitness for any particular purpose. Pacific iWorks, LLC and Hawaiipix.com does not represent or warrant that the content will meet your requirements or that its use will be uninterrupted or error free.
